Terms of Service

Welcome to Practice Agentic. These Terms of Service ("Terms") are a legal agreement between you and Cloud Development Group LLC ("Practice Agentic," "we," "us," "our") governing your access to and use of the Practice Agentic website, learning platform, videos, and related services (together, the "Service").

By creating an account, subscribing, or using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy. If you don't agree, don't use the Service.

1. Who can use the Service

You must be at least 18 years old, or the age of legal majority where you live, to use the Service. By using it, you confirm you meet that requirement and that the information you give us is accurate. If you're using the Service on behalf of a business, you confirm you're authorized to bind that business to these Terms.

2. Your account

You need an account to access most of the Service. You're responsible for:

  • keeping your login credentials secure,
  • everything that happens under your account, and
  • telling us promptly at support@practiceagentic.com if you suspect unauthorized use.

We sign you in using an email magic link or Google sign-in. Don't share your account, and don't let anyone else use it. Access is granted to you as an individual; one subscription is for one person.

3. Subscriptions, billing, and cancellation

Practice Agentic is offered as an all-access subscription on a monthly or annual plan. Billing, automatic renewal, cancellation, and refunds are governed by our Refund Policy, which is incorporated into these Terms. In short: your plan renews automatically until you cancel, you can cancel anytime and keep access through the end of the paid period, and refunds are handled as described in that policy.

Payments are processed by Stripe. We don't store your full card details; your use of Stripe is subject to Stripe's own terms.

4. What you get — your license

While your subscription is active (or for any lesson we make available as a free preview), we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and view the course content for your own learning and for use in your own business.

You may apply what you learn in your own work and businesses. That's the point.

5. What you can't do

The videos and materials are the product, and protecting them keeps the Service alive. You agree not to:

  • download, record, screen-capture, rip, or copy the video lessons, except where a download is explicitly offered;
  • share, resell, sublicense, rent, or redistribute any content, or give others access to your account;
  • circumvent, disable, or interfere with access controls, digital rights, signed URLs or cookies, rate limits, or security features;
  • scrape, crawl, or use bots to harvest content or data from the Service;
  • reverse engineer or attempt to extract source code, except to the extent the law expressly permits;
  • use the Service to build a competing product, or to train a machine-learning model on our content;
  • upload malicious code, or use the Service unlawfully or to infringe anyone's rights.

Breaking these rules is a material breach and may result in suspension or termination without refund.

6. Our intellectual property

All content in the Service — videos, avatars, voice, written lessons, resources, worksheets, prompt libraries, designs, logos, and the "Practice Agentic" name and branding — is owned by us or our licensors and is protected by copyright, trademark, and other laws. Except for the license in Section 4, these Terms don't transfer any ownership or rights to you.

7. Your content and feedback

If you submit anything to the Service (for example, quiz responses, notes, or messages to support), you keep ownership of it, but you grant us a worldwide, royalty-free license to use it as needed to operate and improve the Service. If you send us feedback or suggestions, we may use them freely, without obligation to you.

8. Availability, changes, and content

We work to keep the Service available and the content useful, but we provide it "as is." We may add, change, update, or remove courses, lessons, features, or content at any time. We don't guarantee that any specific course or lesson will remain available for the life of your subscription.

9. No guarantee of results

Practice Agentic teaches methods and skills. It does not guarantee any particular income, business outcome, or result. What you get out of it depends on your effort, judgment, market conditions, and many factors outside our control. Nothing in the Service is financial, legal, tax, or professional advice.

10. Third-party services

The Service relies on and may link to third-party services (such as Stripe, Google sign-in, and our cloud and email providers). We're not responsible for third-party services, and your use of them is governed by their own terms.

11. Suspension and termination

You can stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, misuse the Service, create risk or legal exposure for us, or fail to pay. If we terminate your account for a serious breach, you won't be entitled to a refund. Sections that by their nature should survive termination (including Sections 5–14) will survive.

12. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or secure, or that content is accurate or complete.

13. Limitation of liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Some jurisdictions don't allow certain limitations, so parts of this section may not apply to you.

14. Indemnity

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any law or third-party right.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we'll update the "Last updated" date and notify you by email or in-app before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree that disputes will be resolved in the state or federal courts located in Delaware, except where mandatory consumer-protection law gives you the right to bring a claim in your home jurisdiction. Nothing here removes statutory rights you can't waive.

17. General

These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
